TERM:

3. These TERMS AND CONDITIONS OF USE remain in effect until this Agreement is terminated. You can terminate this Agreement by destroying the Content, and any Derivative Works related thereto, along with any copies or archives of it or accompanying materials (if applicable), and ceasing to use the Content, and any Derivative Works related thereto, for any purpose. You hereby agree that, upon termination of this Agreement, you will destroy all copies and archives of the Content, and any Derivative Works related thereto, to cease using the Content, and any Derivative Works related thereto, for any purpose. All obligations undertaken respecting the Content dislosed hereunder shall survive the termination or expiration of this Agreement.

LIMITED REPRESENTATIONS AND WARRANTIES:

4. The Bible Talks Online website acts as an exchange of Content between those who submit Content for uploading to the website and those who wish to use such Content. BEST EFFORTS WILL BE MADE TO ENSURE THAT CONTENT UPLOADED TO THE WEBSITE REFLECTS THE TRUTH AS REVEALED IN THE PAGES OF SCRIPTURE, AND, SPECIFICALLY, AS EXPRESSED IN THE BIRMINGHAM AMMEDNED STATEMENT OF FAITH (BASF). However, Bible Talks Online or those parties involved with its upkeep and maintenance, make no representation or warranty regarding any Content that is provided. Whereas we invite comments in writing to Bible Talks Online at memberservices@bibletalksonline.com, we would ask that you bear in mind the logistical magnitude of this project and remain sensitive to the challenges in maintaining such an invaluable resource for the Community. Each party acknowledges and agrees that nothing contained in this Agreement shall be construed as granting any rights, by license or otherwise, under any patent, copyright, trademark, trade secret or any other intellectual property rights in or concerning any of the Content.

It is recognised and understood that the information contained in the Content of this website is expressive of the beliefs and opinions of the presenter or speaker based upon their understanding and interpretation of Scripture, and that you, hereby, indeminfy and hold harmless Bible Talks online, any speaker or presenter or party either directly or indirectly involved in the production of Content.

THE CONTENT IS PROVIDED "AS IS" WITHOUT REPESENTATION, WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED REPRESENTATIONS, WARRANTIES OR CONDITIONS OF USABILITY, OR FITNESS FOR USE. BIBLE TALKS ONLINE DOES NOT REPRESENT OR WARRANT THAT THE CONTENT WILL MEET YOUR REQUIREMENTS OR THAT ITS USE WILL BE UNINTERRUPTED OR ERROR FREE. THE ENTIRE RISK AS TO THE QUALITY, USE AND PERFORMANCE OF THIS WEBSITE AND THE CONTENT IS WITH YOU.

LIMITATION OF REMEDIES & LIABILITY:

7. Bible Talks Online provides some Content in this website on a cost per download basis according to certain disclosed TERMS AND CONDITIONS OF USE. Such revenues are used for the promotion of Bible Truth, Sunday School Materials and Preaching Work. Bible Talks Online's entire liability and your exclusive remedy, with respect to any claims arising out of your use of the Content, or out of your actions in downloading the Content, shall be as follows:

(a) You may, upon request to Bible Talks Online, be permitted to download the Content again, at a location Bible Talks Online will provide for you;

(b) If you continue to be unable to download the Content, Bible Talks Online will refund the fee actually paid by you in respect of the use of such Content.

IN NO EVENT SHALL BIBLE TALKS ONLINE OR ANY OF ITS OFFICERS, CUSTODIANS OR AGENTS BE LIABLE FOR ANY INCIDENTAL, INDIRECT, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING DAMAGES FOR LOSS OF PROFITS, INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) IN CONNECTION WITH ANY CLAIM, LOSS, DAMAGE, ACTION, SUIT OR OTHER PROCEEDING ARISING UNDER OR OUT OF THIS AGREEMENT, INCLUDING WITHOUT LIMITATION YOUR USE OF, RELIANCE UPON, ACCESS TO, OR EXPLOITATION OF THE CONTENT, OR ANY PART THEREOF, OR ANY RIGHTS GRANTED TO YOU HEREUNDER, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER THE ACTION IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OR OTHERWISE.

9. IN ANY EVENT, THE TOTAL MAXIMUM AGGREGATE LIABILITY UNDER THIS AGREEMENT, OR THE USE OR EXPLOITATION OF ANY OR ALL OF THE CONTENT IN ANY MANNER WHATSOEVER SHALL BE LIMITED TO THE FEES ACTUALLY PAID BY YOU TO BIBLE TALKS ONLINE UNDER THIS AGREEMENT IN RESPECT OF THE USE OF THE CONTENT.

10. SOME JURISDICTIONS DO NOT ALLOW FOR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

INDEMNIFICATION:

11. You agree to indemnify and hold Bible Talks Online, speakers or presenters or any party, either directly or indirectly, involved in the production of Content, harmless against all claims or liability arising out of use of this website or Content or in connection with any breach by you or anyone acting on your behalf of any of the terms of this Agreement.

AGREEMENT:

12. YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND BIBLE TALKS ONLINE, WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATION BETWEEN YOU AND BIBLE TALKS ONLINE RELATING TO THE SUBJECT OF THIS AGREEMENT.
